Grounds for the determination of a different amount of the fixed remuneration for the Members of the Management Board of ENERGA Ochrona Sp. z o.o.

The business as stated in the concession is the business of providing private security services involving the protection of people and property by means of direct physical protection and providing technical security. The Company conducts its business in Poland.

Despite the heterogeneous and complicated market, the Company's operations have an impact on the achievement of the strategic goals by the ENERGA Group.

Therefore, it is essential to ensure qualified and competent personnel which can achieve the Company's strategic business objectives and contribute to improving its financial performance.

The assumed development strategy is a consolidation with ORLEN Ochrona Sp. o.o., which will boost sales in subsequent years.

It is permitted to determine a different amount of the fixed element of the remuneration in special circumstances concerning the Company or the market in which it operates; in this case the circumstances concern the Company because there is a risk of loss of unique competencies, in particular if applicants from the local market are recruited.

In the case of ENERGA Ochrona Sp. z o.o., there arose the grounds set out in Article 4(3) for determining a different amount of the fixed element of the remuneration of the members of the company's management board.
