A special purpose vehicle established in March 2020 to manage the ENERGA Group's shares
in Polska Grupa Górnicza S.A. with its registered office in Katowice. The Company was established to minimize risks and reduce the impact on operating results of operations of ENERGA S.A.
Due to the lack of financial data for the latest two financial years of the Company, it is recommended that the maximum amount of the fixed remuneration of the Members of the Management Board be determined in line with Group I as defined in the Act on the Rules of Setting Remuneration.
In the case of ECARB Sp. z o.o., there arose the grounds set out in Article 4(3) for determining a different amount of the fixed element of the remuneration of the members of the company's management board.
